Turn The Tide operates internationally in support of marine conservation and the protection of Caribbean reef ecosystems.
Activities are conducted through separate and legally independent entities that share a common charitable mission while maintaining strict structural, financial, and governance independence.


Turn The Tide Foundation Inc. (“TTT USA”) is a nonprofit corporation organized under the laws of the State of Delaware, United States.
TTT USA currently serves as the entity processing donations made through this website.
It operates in accordance with applicable U.S. federal law and Delaware nonprofit corporate law.
Turn The Tide Foundation Inc. – UNITED STATES
Association Turn The Tide (“TTT France”) is an association organized under the laws of the French Republic and published in the Official Journal of Associations and Foundations (JOAFE).
TTT France operates under French association law and maintains its own governance, administration, accounting, and banking structures.
It is legally independent from TTT USA.

Neither entity has authority to direct, control, supervise, manage, or otherwise influence the governance, operations, finances, personnel, or programs of the other.
Each entity retains full autonomy over its governance, operations, finances, personnel, programs, and legal obligations.




Each entity independently conducts fundraising activities within its respective jurisdiction or through platforms under its control.
Donations made through this website are received and administered exclusively by TTT USA and are deposited directly into its bank accounts.
No pooling, commingling, consolidation, or shared control of funds occurs between the entities.
Each entity is solely responsible for:

Donor acknowledgment and receipting requirements
Financial reporting obligations
Regulatory and nonprofit compliance within its jurisdiction

Each entity represents that it complies with applicable laws within its jurisdiction, including those relating to:
Each entity finances and administers its own programs unless otherwise expressly documented in a written agreement approved by the respective governing bodies.
4. Financial Oversight & Internal Controls
Each entity maintains:
Separate accounting records
Independent banking structures
Segregated financial reporting
Internal approval procedures for expenditures appropriate to its size and activities
Each entity is solely responsible for its own debts, liabilities, and obligations.
Transfers of funds between entities are not anticipated as routine practice and may occur only on an exceptional basis for specific charitable purposes, subject to:
Formal approval by the transferring entity’s governing body
Documented charitable purpose
Compliance with applicable laws in both jurisdictions
Absence of private benefit or impermissible control

Approval of significant expenditures
Board members act in a fiduciary capacity in accordance with U.S. nonprofit governance standards and Delaware corporate law.
TTT France maintains its own governing body in accordance with French association law.
It is solely responsible for governance, regulatory compliance, and operational oversight within its jurisdiction.
No director, officer, volunteer, or representative of one entity shall be deemed an agent of the other.
6. Intellectual Property
TTT USA owns all rights, title, and interest in and to the name “Turn The Tide,” related trademarks, logos, branding materials, and associated intellectual property.
TTT France uses such intellectual property pursuant to a non-exclusive, royalty-free license consistent with the shared charitable mission.
No transfer of ownership occurs between entities.

8. Tax Status

TTT USA has applied for federal tax-exempt status under U.S. law and is currently awaiting determination from the Internal Revenue Service (IRS).
TTT France does not process or receive donations through this website. It is pursuing the fiscal recognition required under French law to issue tax-deductible receipts.
Tax treatment of donations depends on the donor’s jurisdiction and the confirmed tax status of the receiving entity. Donors should not assume tax deductibility unless explicitly confirmed in writing.
